Using a cap table management solution (CTMS) like Carta or Pulley is not mandatory but strongly recommended.
Limitations of not using a CTMS:

- Every 12 months, you will have to upgrade their 409A with a supplier of their choice (this is included in most CTMS’s plans)
- If you cap table moves, you will need to notify us proactively
- When making assignments, you will need to get employees to sign the documents we generate for them (as we use Pulley and Carta's signature system for employee signatures)
- Exercises will need to be managed manually
